These Terms of Service ("Terms") govern your use of the SmartCodeMedia website and any marketing services you engage us to provide. By using our website or engaging our services, you agree to these Terms.

1. Services

SmartCodeMedia provides digital marketing services including but not limited to Google Ads management, Meta Ads management, SEO, AI search optimization, website development, and conversion rate optimization. Specific service scope, deliverables, and fees are defined in a separate signed proposal or service agreement.

2. Engagement Terms

• Standard engagements require a 3-month minimum commitment to allow campaigns and strategies sufficient time to produce measurable results.
• After the minimum term, engagements continue on a month-to-month basis and may be cancelled by either party with 30 days' written notice.
• Advertising spend (Google Ads, Meta Ads, etc.) is separate from our management fee and is paid directly to the advertising platforms unless otherwise agreed in writing.

3. Payment Terms

Management fees are billed monthly in advance unless otherwise specified in your service agreement. Late payments may result in suspension of services.

4. No Guarantee of Results

Digital marketing results are influenced by factors outside our control, including but not limited to platform algorithm changes, market conditions, and competitor activity. We do not guarantee specific rankings, traffic, conversion rates, or revenue outcomes. Any performance figures referenced on this website (case studies, testimonials) reflect actual historical results for specific clients and are not guarantees of future performance.

5. Satisfaction Guarantee

We offer a 30-day satisfaction guarantee on our management fee (excluding ad spend) as described on our Pricing page, subject to the terms of your specific service agreement.

6. Intellectual Property

Upon full payment, creative assets, ad copy, and website code created specifically for your account become your property, excluding any third-party licensed tools, frameworks, or our proprietary processes and methodologies.

7. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement.

8. Limitation of Liability

To the maximum extent permitted by law, SmartCodeMedia's total liability arising from any engagement shall not exceed the total fees paid by the client in the three (3) months preceding the claim.

9. Website Use

Content on this website is provided for general informational purposes. You may not reproduce, distribute, or create derivative works from our content without written permission.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which SmartCodeMedia is legally registered, without regard to conflict of law principles, except where local consumer protection law requires otherwise.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
